Terms & Conditions
This portal gives you direct secure access to our order confirmation system and delivery booking in system.
FoodlineUK Limited accepts orders on these Terms and Conditions which supersede any other terms. By placing an Order the Customer agrees to these Terms and Conditions.
FoodlineUK Limited reserves the right to amend or update these Terms and Conditions.
Any such changes will take effect when posted on the website www.foodline.co.uk
The customer means any person, company or other legal entity which places an order with FoodlineUK Limited.
Goods mean the products supplied to the Customer by FoodlineUK Limited.
- Price
- The price of the Goods shall be the price stated on the invoice.
- Any offers and promotions are subject to availability.
Weekly promotional prices are for online orders only.
- The price is exclusive of any applicable Value Added Tax, which the Customer shall be liable to pay to FoodlineUK Limited.
- Placing an Order
- Orders must be placed before Midnight on the day prior to delivery.
Any Order placed after Midnight will not qualify for next day delivery.
- Once an Order is placed it is deemed a contract of sale and the Customer cannot amend or delete that Order.
- In the event of non-availability of any product ordered, a reasonable substitute may be offered.
- Delivery
- For delivery the minimum order value is £150
FoodlineUK Limited reserves the right not to deliver an Order which is valued at less than the minimum order or alternatively will charge £15 for transport.
- Delivery of goods to the Customer shall be in accordance with the Company’s delivery schedule.
- The delivery address will be that address specified by the Customer when the account was opened, unless otherwise agreed in writing.
- The Customer must ensure that adequate and safe access arrangements to premises are put in place and available and that an authorised person is available to accept delivery during the Customer’s delivery slot, as notified by FoodlineUK Limited.
The Customer must provide any assistance that is required.
- The delivery must be checked at the time of delivery by the authorised person in the presence of FoodlineUK Limited’s delivery driver. The Customer must advise the delivery driver of any shortages and the driver will amend the delivery note/invoice.
The Customer must sign the delivery note/invoice as confirmation of the receipt of Goods.
- All delivery times are estimated. Whilst FoodlineUK Limited takes every care to ensure that the delivery is received by the Customer in a given time frame, it does not accept any liability if it fails to do so.
- If the Customer fails to take delivery of Goods for any reason then without prejudice to any other rights or remedy available, FoodlineUK Limited may charge the Customer for the cost of transport to and from the delivery address. A total charge of £25 or 10% of the delivery value will be made, whichever is the greater, but not exceeding £50.
- Collection
- FoodlineUK Limited is a Business to Business Wholesaler with delivery to Customers premises. This is the principal way in which Customers receive all Goods but it is acknowledged that from time to time exceptional circumstances may exist for a Customer to want to collect Goods.
- If the collection of Goods by the Customer is from time to time necessary from FoodlineUK Limited’s Warehouse and Distribution Centre Lancashire Hill, the delivery time is deemed to be the time of collection. Collection must be agreed in advance by FoodlineUK and may not always be possible for operational / safety reasons.
- Parking at FoodlineUK Limited’s Warehouse and Distribution Centre Lancashire Hill is entirely at the discretion of FoodlineUK Limited and at the risk of the Customer. Any such parking must not obstruct Heavy Goods Vehicles making deliveries to the Warehouse Distribution Centre.
- Payment
- All accounts, unless otherwise agreed in writing, are payment on delivery. For the avoidance of doubt, the due date is the date of delivery unless otherwise agreed in writing.
- Invoices are due for payment by the due date, and in all circumstances within 7 days after the date of delivery of the Goods to the Customer.
- Without prejudice to any other right or remedy, FoodlineUK Limited reserves the right to suspend the delivery of further Goods immediately if:
- the Customer fails to provide any assistance that is required in FoodlineUK Limited carrying out each delivery to the Customer’s delivery address
- the Customer fails to settle any invoices due or
- in the opinion of FoodlineUK Limited, the Customer will not be able to meet, or is unlikely to be able to meet, any existing or future payment obligations
- In the event of a returned or represented cheque, a £25 administration charge will be added to cover administrative costs suffered by FoodlineUK Limited.
- In the event of an overdue balance,
- a charge of £50 will be made to the Customer’s account to cover bank and administrative costs.
- the Customer account will be placed on hold until cleared funds are received in full to settle the outstanding amount.
- The late or non payment of an invoice will be considered a breach of the agreed payment terms and will render any agreed terms null and void. The Customer’s account will be placed on hold and any agreed terms will change to ‘payment on delivery’ for future Goods.
- FoodlineUK Limited reserves the right to issue legal proceedings to recover any outstanding amount without prior notice.
- FoodlineUK Limited will charge interest on sums unpaid after the due date. Interest shall be paid at a daily rate of 4% over Bank of England base rate for any outstanding sum after the due date has passed.
The Customer must pay FoodlineUK limited promptly and otherwise within 14 days of any demand, any due interest on any portion of the outstanding balance.
- If for whatever reason the Customer ceases to place an Order with FoodlineUK Limited or for whatever reason FoodlineUK Limited ceases to deliver Goods to the Customer, all sums invoiced or to be invoiced in respect of Goods delivered will fall due for full and immediate payment.
- Termination
- FoodlineUK for any reason may end its relationship with the Customer immediately and without notice and is not liable in any way whatsoever to the Customer.
- To the extent that execution by FoodlineUK of any order is rendered impossible because of force majeure, FoodlineUK will notify the Customer as soon as practicable. To that extent FoodlineUK will be excused immediately from further performance of the contract.
Force majeure is any cause affecting performance of the contract rising from or attributable to acts or events or circumstances beyond the reasonable control of FoodlineUK and includes strikes, lock-outs, stoppages, restraint or withdrawal of labour or other industrial action or labour dispute, shortages of labour, supplies or materials, civil commotion, riot, invasion, war, threat of or preparation for war, fire, explosion, storm, flood, drought, earthquake, subsidence, communicable diseases, epidemic or other natural physical disaster, legislation acts or restraints of government and any other acts, events or circumstances beyond FoodlineUK’s reasonable control.
- Claims for Loss, Damage or Shortages
- The Customer must notify FoodlineUK Limited of any issue including the condition, quality, quantity, specification or weight of a product within 24 hours of delivery. FoodlineUK Limited will not accept a return and will not issue a replacement, if it has not been notified within 24 hours following delivery.
- If FoodlineUK Limited does not receive a notification from the Customer of any issue within 24 hours, the Goods will be deemed to have been received in full and in good condition. FoodlineUK Limited will not accept any notification after the 24 hour period has expired.
- If notified within 24 hours of delivery FoodlineUK Limited will investigate any issue, including reviewing all evidence required by FoodlineUK, including photographic evidence. The Customer must give FoodlineUK Limited a reasonable opportunity of inspecting the Goods at the Customers premises and deciding an agreed course of action before the Customer disposes of or surrenders the Goods or considers any other option. This includes allowing FoodlineUK Limited to conduct their own analysis of the disputed product in order to identify if product mistreatment has occurred following delivery of the goods.
- FoodlineUK’s acceptance of notification of an issue is not an admission of liability.
- Returns
- FoodlineUK Limited will only accept a return if the wrong product was delivered and returned on the same day with the same delivery driver in its original condition.
- Risk and Ownership
- All risks in the Goods including but not restricted to; management / storage / use of the Goods, pass to the Customer on delivery. Ownership of the Goods shall remain with FoodlineUK Limited until fully paid for.
- Online Security
- At the time of online registration the Customer is asked to set a password.
The Customer must keep this password secure and the Customer is entirely responsible if the confidentiality of the password is not maintained.
- The Customer is entirely responsible for all orders placed with FoodlineUK Limited or information given to FoodlineUK Limited under the Customer’s email address in combination with the password.
- The Customer must immediately notify FoodlineUK Limited of any unauthorised use of the Customer’s email address and/or password or any breach of security known to the Customer and the Customer must personally identify themselves, and if necessary attend FoodlineUK’s Warehouse and Distribution Centre to evidence in person their identity in instances where the Customer’s identity has been compromised/stolen.
- FoodlineUK Limited will not pass on the Customer’s details to any third party for the purposes of unsolicited marketing or advertising.
- Applicable Law
- These Terms and Conditions shall be governed and construed in accordance with the laws of England and Wales.
